These Terms and Conditions (“Agreement”) govern the use of services provided by Madagascar Invest (“we,” “our,” or “us”) for company setup in Madagascar. By purchasing any of our company setup packages, you agree to comply with and be bound by the following terms:
1. General Information
Madagascar Invest offers various company setup packages designed to assist individuals and businesses with the establishment of a legal entity in Madagascar. These packages include registration, legal documentation, and additional services as outlined in the respective package descriptions.
2. Service Packages and Pricing

Includes full company registration at the Economic Development Board of Madagascar (EDBM), drafting and filing of legal documents, Tax ID (NIF) & company certificate, and a company setup strategy call. -
Essential Package: €1,998
Includes all services in the Basic Package, plus a business address (12 months), company director for 12 months, MGA business bank account setup, and a dedicated client success manager. -
Executive Package: €4,998
Includes everything in the Essential Package, plus premium banking options (multi-currency, USD/EUR accounts), regulated business activity license, one-year compliance support, priority processing (fast-track setup), and company document delivery via courier service.
3. No Monthly Commitment
All packages are available with no monthly commitment. However, some services may require annual renewal to ensure a continuation of services (e.g., business address, company director).
4. Refund Policy
All payments for services are non-refundable after the service has been initiated. Refunds will be considered if services are not initiated or if there is a failure on the part of Madagascar Invest to fulfill the contractual obligations.
5. Service Delivery
We aim to complete the company setup process within the timeframes specified in the package details. However, delays may occur due to factors outside our control, such as government processing times or client-provided information.
6. Client Obligations

Accurate Information: You agree to provide accurate and complete information necessary for the setup of your company. Any delays or issues resulting from incorrect or incomplete information may affect the delivery timeline and incur additional charges.

Legal Compliance: You are responsible for ensuring that your business activities comply with the laws of Madagascar. We are not responsible for any legal issues arising from non-compliance after your company has been established.
7. Privacy and Data Protection

8. Intellectual Property

9. Limitation of Liability

Madagascar Company Setup Process
Step 1: Select your company formation package

Step 2: Complete the company setup form
A company setup form must be duly completed with information about the new company and its shareholders.
Step 3: Sign the company documents
Madagascar Invest will then draft all necessary company documents, which must be signed by the client.
Step 4: Send the company documents to Madagascar Invest
When the company documents have been signed by hand, the original documents must be sent to Madagascar Invest via courier.
Step 5: Documents will be deposited to EDBM
Madagascar Invest will now deposit all company documents to EDBM (Economic Development Board of Madagascar) for registration.
Step 6: Registered company documents released by EDBM
After a few days (usually 5-7 working days), the registered company documents will be released by the EDBM.
Step 7: Your company in Madagascar is now registered and ready for business!
With the registered company documents in hand, yor business in Madagascar is now functional and ready to operate. You can use your company to run a business, apply for residency, and even hold real estate in Madagascar.

The time it takes to establish a company in Madagascar depends on the nature of the business activity.
Some business activities require the company to be registered by a local notary, while others require special permission to open.
For the majority of activities, it generally takes no longer than 1-2 weeks for us to establish your company, once we have all the necessary documents in hand.
However, some companies have special requirements which may impact the processing times.
Must I be physically present in Madagascar to open a company?
No, when registering a company in Madagascar with us, the entire process can be handled remotely.Â
The first step we take is to collect all the necessary information about the new company and its shareholders. This is done by completing a simple online form.
Once we have all the necessary details, we draft the documents related to your company.
We then send these documents to you via email, after which you must print and sign the documents.
Once this is done, you return the original documents to Madagascar Invest via courier/mail.
Once we have the original signed documents in hand, we deposit the documents to the relevant authorities.
After depositing the original documents, it generally takes around 5-10 working days to have the company registered and operational.

What are the ongoing compliance requirements of a Madagascar company?
After registering your company, you must file taxes to the Madagascar Ministry of Finance every 12 months.Â
Tax filing is handled at your local fiscal office, depending on where your company address is located.

How much is the corporate tax in Madagascar?
The base tax for businesses in Madagascar is 20% on all revenue earned above MGA 400 million.
Companies with a revenue below MGA 400 million are subject to taxation at a rate of 5% of 70% of their annual turnover.
The minimal tax rate is MGA 16,000 to MGA 150,000 depending on the activity of the company.
How much is the value added tax (VAT) in Madagascar?
The VAT rate in Madagascar is 20%.

VAT is applicable on all transactions for services or goods sold in Madagascar, including goods and services invoiced to a legal entity outside Madagascar.

As such, the total minimum taxes and fees due upon setting up an LLC in Madagascar is 396,000 MGA.
