Who can register a company in Madagascar?

Anyone can register a company in Madagascar, regardless of their citizenship or residency. There are no restrictions on any nationalities to open a business in Madagascar.

In addition, your company can be opened remotely, from anywhere in the world.

Furthermore, opening a company in Madagascar enables you to apply for a residence permit, after the company has been registered.

Yes, every company registered in Madagascar must have a resident director. 

This is, however, mostly a formality, as the local partner does not need to hold any shares or have any type of voting power in the company.

Madagascar Invest will set up the legal structure of the company in such a way, that your local director can help you open a bank account, but not be able to make transactions on the account.

If you do not have a local partner, Madagascar Invest can provide one for you.

Yes, every company in Madagascar must be registered with a local address. You can use an address that you rent or own.

To use an address for commercial purposes, you must provide:

  • A commercial lease made out to your company
  • Proof of address ownership
  • Location plan registered by the fokontany

In some cases, you may also need additional documents to use the address for commercial purposes.

If you do not have a local business address, Madagascar Invest can provide one for you.

The time it takes to establish a company in Madagascar depends on the nature of the business activity.

Some business activities require the company to be registered by a local notary, while others require special permission to open.

For the majority of activities, it generally takes no longer than 1-2 weeks for us to establish your company, once we have all the necessary documents in hand.

However, some companies have special requirements which may impact the processing times.

No, when registering a company in Madagascar with us, the entire process can be handled remotely. 

The first step we take is to collect all the necessary information about the new company and its shareholders. This is done by completing a simple online form.

Once we have all the necessary details, we draft the documents related to your company.

We then send these documents to you via email, after which you must print and sign the documents.

Once this is done, you return the original documents to Madagascar Invest via courier/mail.

Once we have the original signed documents in hand, we deposit the documents to the relevant authorities.

After depositing the original documents, it generally takes around 5-10 working days to have the company registered and operational.

Yes, opening a company in Madagascar will allow you to apply for the “residency by investment“-option. 

A residence permit will enable you to do business, travel, and spend as much time as you wish in Madagascar.

Residence permit is not included in our company registration packages, but must be purchased separately.

After registering your company, you must file taxes to the Madagascar Ministry of Finance every 12 months. 

Tax filing is handled at your local fiscal office, depending on where your company address is located.

The base tax for businesses in Madagascar is 20% on all revenue earned above MGA 400 million.

Companies with a revenue below MGA 400 million are subject to taxation at a rate of 5% of 70% of their annual turnover.

The minimal tax rate is MGA 16,000 to MGA 150,000 depending on the activity of the company.

The VAT rate in Madagascar is 20%.

VAT on export is 0%. 

VAT is applicable on all transactions for services or goods sold in Madagascar, including goods and services invoiced to a legal entity outside Madagascar.

Importation of goods in Madagascar are subject to payment of customs at a variable rate, depending on the nature of the imported goods.

In addition, a 0.5% fee of the cost, insurance, and freigh (CIF) value of goods is levied on all imported goods.

In Madagascar, companies are allowed to set their own financial year (taxable period).

This period must be 12 months, and taxes must be filed no later than the 15th day of the fourth month from the date of closing of the financial year.

The government fees and taxes when setting up a company (LLC) in Madagascar are broken down in the following way:

  • Articles of association registration: 0.5% of share capital (minimum 10,000 MGA)
  • Commercial (Trade & Companies Register) registration fee: 16,000 MGA
  • Deed (minutes of incorporation) registration cost: 2,000 MGA
  • INSTAT (National Statistics Institute) registration fee: 40,000 MGA
  • Tax Authority (DGI) registration cost: 0.5% of share capital (minimum 10,000 MGA)
  • Provisional income-tax payment upon incorporation: 320,000 MGA

As such, the total minimum taxes and fees due upon setting up an LLC in Madagascar is 396,000 MGA.
